iGUIDE Contractual Terms of Use

1. If you browse, access or view any iGUIDE Content or data via our Service on any website or application, you agree to be bound by these terms.

2. In these Terms of Use:

“iGUIDE Content” means iGUIDE Tours, floor plans, photographs, brochures or other works.

“iGUIDE Tour” means an iGUIDE virtual 3D tour.

“Planitar”, “we”, “our” or “us” means Planitar, Inc, incorporated in Canada.

“Service” means the iGUIDE viewer application.

3. These terms of use and our Privacy Policy form the basis on which you may access and use the Service and the iGUIDE Content.

4. Planitar reserves the right to change any or all of our terms of use or other conditions for using our Service and iGUIDE Content at any time by publishing the new terms or conditions on our website. Your use of our Service and iGUIDE Content constitutes your acceptance of those terms. Should you object to any of our terms of use or other notices on our Service or iGUIDE Content your sole option is to immediately cease your use of our Service and iGUIDE Content.

5. We do not warrant that content, links, or subdomains contained on, or associated with the Service or our websites will be available and accessible to you at all times. We may change the path or location of a link or sub-domain, or redirect content contained within a link or subdomain on our websites at any time without prior notice to you. We do not warrant that any links that you forward will remain constant at the time that you forward or share them, as they are subject to change at any time, without notice to you.

6. We make no warranty as to the accuracy or reliability of the information contained within our Service and iGUIDE Content, including, but not limited to:

any information generated by or on behalf of Planitar and featured within the Service or iGUIDE Content; and
any Third Party Content accessible via our Service, whether embedded in our websites or third party sites.

7. You may access iGUIDE Content featured in the Service for your information and personal use. You must not download any iGUIDE Content unless you see a "download" or similar link displayed by us on the Service.

Restrictions on use of our Service

8. In accessing or using our Service you agree that you will not:

use any automated device, software, process or means to access, retrieve, scrape, or index our Service or any iGUIDE Content;
use any device, software, process or means to interfere or attempt to interfere with the proper working of the Service on our websites or third party sites;
undertake any action that will impose a burden or make excessive traffic demands on our infrastructure that we deem, in our sole discretion to be unreasonable or disproportionate site usage;
use or index any iGUIDE Content or data on our Service for purposes of:
1. constructing or populating a searchable database of properties;
2. building a database of property information or imagery;
3. constructing or populating a property data or property insights product; or
4. training any large language model, generative image model or similar generative AI models, except with our prior written consent.
transmit spam, chain letters, contests, junk email, surveys, or other mass messaging, whether commercial in nature or not;
use our Service or any iGUIDE Content from our Service in any manner which is, in our sole discretion, not reasonable and / or not for the purpose which it is made available;
violate the rights of any person, including copyright, trade secret, privacy right, or any other intellectual property or proprietary right;
pose as any person or entity or attempt to solicit money, passwords or personal information from any person;
act in violation of any Term of Use or other condition imposed by us or any applicable law;
reproduce, republish, retransmit, modify, adapt, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit our Service or any iGUIDE Content, except as expressly authorised by us;
transmit or attempt to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature;
alter or modify any part of our Service or iGUIDE Content or reverse engineer, decompile, disassemble, or otherwise attempt to discover components, source code or underlying ideas or algorithms of our Service or modify, translate, or create derivative works based on our Service or iGUIDE Content;
modify, build upon, or block any portion or functionality of any embedded Service on your website, including but not limited to links back to our websites;
use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses our Service in a manner that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser. Notwithstanding the foregoing, we grant the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials but not caches or archives of such materials;
collect or harvest any personal information, including names, emails, or phone numbers, from the Service, nor use the communication systems provided by the Service (e.g., comments, email, phone numbers) for any commercial solicitation purposes;
solicit, for commercial purposes, any users of the Service with respect to their content; and
circumvent, disable, or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the iGUIDE Content therein.

9. We reserve the right to exercise whatever means we deem necessary to prevent unauthorised access to or use of our websites or Service, including, but not limited to, instituting technological barriers, or reporting your conduct to any person or entity.

Copyright

10. The subject matter on and accessible from our Service and publications is protected by copyright. Apart from fair dealing permitted by the Copyright Act, Planitar grants visitors to the Service permission to access, and where indicated, to download copyright material only for private and non-commercial purposes. For reproduction or use of iGUIDE Content beyond such use, written permission must be obtained directly from Planitar or the relevant copyright owner. If given, permission will be subject to the requirement that the copyright owner’s name and interest in the material be acknowledged when the material is reproduced or quoted, in whole or in part.

Third party links and advertising

11. Our website and Service may include advertisements, hyperlinks and pointers to websites operated by third parties. Links to third party websites include, without limitation, links to our customers or their real estate clients. Those third party websites are not under the control of or the responsibility of Planitar (except for any embedded Service). When you link to those websites you do so entirely at your own risk. Planitar and its related entities make no warranty as to the accuracy or reliability of the information contained on any third party websites, and Planitar and its related entities, directors, officers and agents disclaim all liability and responsibility for any direct or indirect loss or damage which may be suffered by you through relying on anything contained on or omitted from such third party websites. A display of advertising or iGUIDE Content does not imply an endorsement or recommendation by Planitar.

Third Party Content

12. Our Service contains content provided to Planitar by other parties (Third Party Content). Representations made in Third Party Content are representations by those third parties and not by Planitar. Planitar does not have a practice of monitoring or making enquiries about Third Party Content. Planitar is not responsible for, does not endorse and makes no representations either expressly or impliedly concerning Third Party Content. Third Party Content does not represent the views of Planitar. You should always make your own enquiries before relying on Third Party Content.

Policy for linking to our website or Service

13. You may only link to iGUIDE Content or our Service if we consent. If we do allow you to link to iGUIDE Content or our Service, it is on condition that you do not:

attribute a link to iGUIDE Content as being a link to your own or someone else’s content (unless attribution is to the photographer or real estate agent);
attribute a link to our site and then link somewhere else; or
frame our content in such a way as to present it as your own or as belonging to anyone other than us or our licensors.

14. We reserve the right to require that you do not link to iGUIDE Content or our Service and we may exercise this right by giving notice to you. We reserve complete discretion in relation to our exercise of this right, which may be due to the matters or circumstances above, or any other matter or circumstance we consider is reasonable.

Limitation of liability

15. Certain rights and remedies may be available under the Competition and Consumer Act 2010 (Aust) and similar legislation of other states, territories or countries. Nothing in these Terms and Conditions has the effect of limiting, excluding, restricting or modifying those rights and remedies, and all provisions of these Terms and Conditions are subject to those rights and remedies.

16. TO THE EXTENT PERMITTED BY LAW NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY, OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF CUSTOMERS, LOSS OF CAPITAL, DOWNTIME COSTS, LOSS OF PROFIT, LOSS OF OR DAMAGE TO REPUTATION, LOSS UNDER OR IN RELATION TO ANY OTHER CONTRACT, LOSS OF DATA, LOSS OF USE OF DATA, LOSS OF ANTICIPATED SAVINGS OR BENEFITS SUFFERED OR INCURRED BY OR AWARDED AGAINST THEM UNDER OR IN ANY WAY CONNECTED WITH THIS AGREEMENT OR THE WEBSITES, EXCEPT WHERE SUCH DAMAGES, LOSS OR COSTS ARISES FROM THAT PARTY’S FRAUD, CRIMINAL CONDUCT, WILFUL MISCONDUCT OR BREACH OF CLAUSE 8.

17. THE AGGREGATE LIABILITY OF EACH PARTY AND THEIR RELATED ENTITIES FOR LOSS, DAMAGES AND COSTS WHICH ARE NOT EXCLUDED UNDER THE CLAUSE ABOVE WILL AT ALL TIMES BE LIMITED TO $100.00, EXCEPT WHERE SUCH DAMAGES, LOSS OR COSTS ARISES FROM THAT PARTY’S FRAUD, CRIMINAL CONDUCT, WILFUL MISCONDUCT OR BREACH OF CLAUSE 8.

Jurisdiction

18. Your use of our Service, these terms, our Privacy Policy and all of our legal terms and notices will be governed by and construed in accordance with:

the laws of Victoria, Australia, if you are an Australian or New Zealand user of the Service; or
the laws of the Province of Ontario, Canada, if you are a user of the Service in Canada, the United States or any other jurisdiction not covered by clause 18(a).

19. By using our Service you irrevocably and unconditionally submit to the jurisdiction of the courts of the states or provinces above.
